Our attorneys have worked on virtually every type of real estate project, including investment land, single family, retail, multi-family, mixed-use, office, self-storage, warehouse, industrial, and redevelopment projects. We represents developers, investors, lenders, landlords, tenants, and users. We also serve as local Texas counsel for out of state clients. Our pragmatic approach to real estate transactions results in efficiency in both time and costs.
Litigation should be a last resort. It is, however, often a necessary part of achieving an optimal business outcome. Our trial team has provided effective representation in many critical disputes including: partnership fights; lease disputes; condemnation and eminent domain matters; boundary and easement fights; brokerage fee claims; fiduciary litigation; deceptive trade practice cases; fraud claims; contract disputes; insurance claims; trade secret lawsuits; and non-compete covenant matters, to name a few. Regardless of the matter, up front, we work collaboratively with our clients to develop a “blue print” for how the litigation should be conducted, ideally to a successful exit point.
Purchase and Sale Transactions
Our experience in purchase and sale transactions is comprehensive. We have assisted with the sale or purchase of large and small projects, in both individual and portfolio transactions. Our approach is tailored to the transaction, as we understand the goal – to close the deal.
We assist clients with large and small leases, and we represent both landlords and tenants in lease transactions. We understand the importance of leasing to a real estate project and also know that “turnaround time” is critical for leasing success.
Thanks to the success of our clients, we have significant experience with real estate development projects, whether multi-family development, single family development, retail development, office development, self-storage development or industrial development. Also, we have been involved in the redevelopment and recommissioning of various real estate projects. When development projects require creative solutions, we pride ourselves on our ability to identify those solutions.
Our attorneys are experienced in the multiple aspects of real estate financing, including new loans, loan workouts and loan enforcement. We have closed acquisition loans, development loans, construction loans, mini-permanent loans, permanent loans, mezzanine loans, loan assumptions, and loan purchases and sales (individual loans and portfolios). In the loan workout and enforcement area, we represent creditors, borrowers and guarantors and may work in tandem with our litigation attorneys on these transactions.
Real estate investment opportunities are presented to our clients, and we often assist our clients in negotiating the terms of the relevant investment agreements. We are also available to review the legal aspects of the investment opportunity, as part of our client’s investment decision.
Management and Operation
In the ownership and management of real estate projects, issues invariably arise that require the assistance of a real estate attorney. Our clients may need counsel or a sounding board for those issues. We also assist our clients with property management agreements, asset management agreements, brokerage agreements, and other service agreements.
As part of our real estate practice, we routinely assist with the selection, structuring and formation of business entities, including partnerships, limited liability companies, and corporations. We understand the unique concerns that our clients have, whether they are active participants or passive investors. We also work closely with our clients’ tax advisors so that the entity structure and documentation are in synch with our clients’ tax goals.
Creativity drives consideration of alternative means to resolve disputes. If we can resolve claims more efficiently through arbitration, mediation, summary jury trials, or bench trials, rather than at the courthouse in front of a jury, we will be the first to suggest and orchestrate that. In addition, our attorneys include those with the qualifications to serve the role of arbitrator and mediator.
